Terms of Service

1. Acceptance of Terms

By accessing or using the SpotlightSwap website, mobile application, or any related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any such changes.

2. Definitions

  • “Platform” refers to the SpotlightSwap website, applications, and all related services.
  • “User” refers to any person who accesses or uses the Platform, including Buyers and Sellers.
  • “Buyer” refers to a User who purchases items through the Platform.
  • “Seller” refers to a User who lists items for sale on the Platform.
  • “Listing” refers to an item posted for sale on the Platform by a Seller.
  • “Transaction” refers to a completed purchase of a Listing between a Buyer and Seller.

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must be at least 18 years of age to create an account. If you are under 18, you may use the Platform only with the involvement of a parent or legal guardian who agrees to these Terms.

4. Listings

Sellers are solely responsible for the accuracy of their Listings, including descriptions, photos, measurements, condition ratings, and pricing. Listings must accurately represent the item being sold. SpotlightSwap reserves the right to remove any Listing that violates these Terms or our community guidelines, without notice. By creating a Listing, Sellers grant SpotlightSwap a non-exclusive, royalty-free license to use, display, and distribute the Listing content for the purpose of operating and promoting the Platform.

5. Transactions

SpotlightSwap acts as an intermediary platform connecting Buyers and Sellers. We are not a party to the transaction between Buyer and Seller. When a Buyer purchases a Listing, payment is processed through our payment processor (Stripe) and held in escrow until the Buyer approves the order or the 5-day inspection window expires. The Seller must ship the item within 3 business days of the sale. The Buyer has 5 days after confirmed delivery to inspect the item and either approve the order or file a dispute.

6. Fees

SpotlightSwap charges Sellers a commission fee on each completed Transaction. The standard fee is 12% of the sale price, reduced to 10% after 5 completed sales. Fees are deducted from the Seller's payout at the time of disbursement. Buyers do not pay additional platform fees, though shipping costs may apply as set by the Seller. SpotlightSwap reserves the right to change its fee structure with 30 days' notice to affected Users.

7. Shipping

Sellers are responsible for shipping items to Buyers in a timely and secure manner. Items must be shipped within 3 business days of the sale. Sellers must provide valid tracking information. Sellers are responsible for packaging items appropriately to prevent damage during transit. SpotlightSwap is not responsible for items lost or damaged during shipping, though such cases may be covered by our Buyer Protection policy.

8. Disputes

If a Buyer believes an item does not match the Listing description, they may file a dispute within the 5-day inspection window. SpotlightSwap will review the evidence provided by both parties and make a determination. SpotlightSwap's decision in dispute resolution is final. In cases where a dispute is resolved in the Buyer's favor, a full refund will be issued, and the Buyer may be required to return the item at the Seller's expense.

9. Prohibited Items

The following items may not be listed on SpotlightSwap:

  • Counterfeit or replica items
  • Stolen property
  • Items that infringe on intellectual property rights
  • Items that are not dance costumes or directly related accessories
  • Items in unsanitary or hazardous condition
  • Items that violate any applicable law or regulation

10. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, and software, is the property of SpotlightSwap or its licensors and is protected by copyright, trademark, and other intellectual property laws. Users may not copy, reproduce, distribute, or create derivative works from Platform content without express written permission. User-generated content (Listings, reviews, messages) remains the property of the User, but by posting it on the Platform, Users grant SpotlightSwap the licenses described in Section 4.

11. Limitation of Liability

SpotlightSwap provides the Platform on an “as is” and “as available” basis. To the fullest extent permitted by law, SpotlightSwap disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. SpotlightSwap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform. SpotlightSwap's total liability for any claim arising from these Terms shall not exceed the fees paid by you to SpotlightSwap in the 12 months preceding the claim.

12. Termination

SpotlightSwap may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may terminate your account at any time by contacting support. Upon termination, your right to use the Platform ceases immediately. Any outstanding Transactions will be completed according to these Terms. Provisions that by their nature should survive termination (including Sections 10, 11, and 13) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Hennepin County, Minnesota. You consent to the personal jurisdiction of such courts and waive any objections to venue.
